Wingkay Leung called the meeting to order at 7:10 pm.

Wingkay Leung announced that the first item on the agenda is
for Kye Liang, the Program Manager of the Chinatown Master
Plan 2010, to present progress of this plan. Please refer
to handouts from the meeting for details.

Meeting Minutes of March 30, 2010

Chan stated that the English minutes reflected that he
retracted his question regarding the long-standing history
of Chee Kong Tong and the Chinese Merchants Association. He
states that he did not retract his question and the minutes
need to be edited. "梅伍銀歡"
should be "梅伍銀寬".
Jimmy Yee said that committee meeting minutes only written
in English is not proper and considers that to be against
the Bylaws. Wingkay Leung said the decision to write
English only reports was approved at the previous board
meeting. He explained that after committee meeting reports
are presented in Chinese at Board meetings and Board minutes
are written in both English and Chinese, that it is
unnecessary to repeat. Chung Chi Che said that CCBA
committee reports in English only constitute discrimination
against the Chinese language. Kee Lee stated that if
someone opposes the meeting minutes, then it should not be
approved. Robert Leung said that meeting minutes only
report what transpired during a meeting, there is no right
or wrong. What is recorded should not be changed,
especially when the motion was already approved at the last
Board meeting. If it needs to be changed, then the Board
must vote to overturn the motion. Wingkay Leung suggested
that the current minutes be approved first, then consider
the question of bi-lingual reports. Nasi Huang motioned,
Hung Goon seconded, Rosemary Yee abstained, Jimmy Yee
opposed, the minutes were approved.
陳文浩說有關他問洪門和安良歷史悠久的問題,英文版說他“收回"他的問題,他並沒有這樣說,需要更改。梅伍銀歡的名字應為梅伍銀寬。余培鋒說,小組會議記錄以後只提供英文版是不合例的,認為這樣做是針對小組。

Minutes of May 14, 2010 Special Meeting

declared that the Special Meeting is not valid since a
quorum was not met the day of the meeting. Felix Lui said
that he was present at the meeting and agreed that a quorum
was not met. He stated that the meeting should be nullified
and the Board should vote to approve the CCBA 2008 Tax
Return. Rosemary Yee questioned the urgency of the Special
Meeting with only 24 hours notice. Wingkay Leung explained
that the reason for the late notification was because the
accountants didn't return the Tax Return for review until
the last minute. He has urged the accountants to finish but
it was still late. The accountant has promised that they
will not be late with future filings. Robert Leung
motioned, Nasi Huang seconded, the Board unanimously
approved the 2008 Tax Return. Paul Chan wished to see the
letter from the Massachusetts Attorney General's Office.
Felix Lui said that he saw this letter at the Finance
Committee meeting. Wingkay Leung explained that the reason
CCBA received the warning letters was due to
miscommunication. When the accountants requested a tax
filing extension from the IRS, even though an extension was
requested from Massachusetts, the request was not logged in
their system, hence the citations. The accountants have
submitted the tax returns before the deadline. Board
members who attended the meeting received a copy of the
warning letter.
余麗媖說5月14日的特別會議是不合法的,因當天到場開會的董事中有兩人沒有投票權,不夠開會的法定最低人數。雷國輝說當天他也在場,現在也同意確是未夠開會人數,會議應該作廢,但要再投票追認上次會議通過的議案(中華公所2008年報稅表),余麗媖質詢為甚麼上次的會議要開得這麼緊急,只有24小時通知。梁主席說他有催促會計師,但最後還是遲了,他有說會計師樓已答應他明年不會再遲。梁添光動議,黃納斯附議,在無人反對下通過中華公所2008年報稅表。陳家驊說聽聞麻省總檢察官辦公室曾發了封信給中華公所,他想看看這封信的內容。雷國輝說他曾在財政小組會議時見過這封信。主席解釋,收到這封信的原因是當會計師向聯邦政府申請延期報稅時,雖然麻省政府也同時給予延期,但電腦沒有儲存這項記錄,所以向中華公所發了兩封警告信,會計師已替中華公所在限期前遞交了報稅表,沒有被罰款。每位在場董事都收到一份警告信的副本。

Leung first reported on the changes to Board members. Felix
Lui, who represented the Kwong Tung Association of New
England, is now representing the Chinese Economic
Development Council (CEDC). Rosemary Yee will now represent
the Kwong Tung Association of New England. Ori Ron of the
Hudson Group told Wingkay Leung that the deal for the CCBA
parcel of land will be closed soon. CEDC will use this
parcel of land to build affordable housing. The After
School Program by Phillips Brooks House at CCBA has ended.
Their summer camp will soon commence. There are morning and
night classes in the computer lab on Wednesdays. Mr. Wong
offers free Pinyin classes. Participation is enthusiastic.
Wingkay Leung hopes that the CCBA building will be use to
provide maximum benefit to the Chinese community. He stated
that CCBA has owned Waterford Place since 2007 but the
attorney responsible for those transactions left the law
firm prior to completing his assignment. He recently
discovered some questions when the accountants filed the
Annual Report due to the complexity of the organization
structure. He explained that Waterford Place is owned by
CCBA but under the management of Winn Management. The
accountants have always thought CCBA Waterford Place LLC is
directly under CCBA but in actuality, it is under the
jurisdiction of Waterford Management LLC, a corporation that
was formed when the deal was closed. During the
transactions for Waterford Place, legal regulations do not
allow CCBA directly manage Waterford Place. Since CCBA
owned other properties, a corporation named Waterford
Management LLC was formed to manage the property
temporarily, but Waterford Management LLC will be directly
managed by CCBA. In the past several years, the accountants
didn’t know the existence of Waterford Management LLC. As a
result, annual reports were not filed. When the mistake was
discovered in May 2010, annual reports for multiple years
were filed. However, the name of the responsible person was
filed incorrectly. After clarification from Wingkay Leung,
the mistake has been corrected. No penalty was incurred and
it has not affected tax returns. Paul Chan questioned the
reason Wingkay Leung hired an attorney to investigate the
existence of Waterford Management LLC. He stated that
information is readily available online, and Michael Wong or
Gilbert Ho could be consulted since they should understand.
He went on to question Wingkay Leung’s intentions of asking
him the whereabouts of over $100,000.00 in public. He
declared that if Wingkay Leung did his homework, he would
have known that it’s very easy to learn everything since
Michael Wong signed all the documents. He also warned that
if Wingkay Leung attacked him, he will retaliate, even if it
means filing suit. Wingkay Leung clarified to the Board
that after the investigation, he already knew the reason for
the existence of Waterford Management LLC. But because the
filing fee for one annual report costs CCBA $500, he
retained an attorney to investigate if this corporation can
be dissolved, therefore alleviating the need to file future
annual reports. He understood from the investigative report
that Waterford Management LLC cannot be dissolved until the
loan from the Massachusetts Housing Finance Agency has been
paid off. Rosemary Yee questioned whether Wingkay Leung
should have obtained prior approval from the Board before
retaining an attorney. Wingkay Leung countered that he did
consult with Gilbert Ho and Paul Chan before retaining the
lawyer but never received an answer from Paul Chan. Paul
Chan countered that Wingkay Leung had asked inappropriately
with an insinuating attitude. Wingkay Leung said that was
not his intention, and Paul Chan had misheard. Kai Lau said
that when Waterford Place was bought, he was the English
Secretary at CCBA. He is very clear on the procedure.
Everything was done according to proper procedure, just the
same when Tai Tung Village was bought. There are no
suspicious dealings. Even though a management company,
Waterford Management LLC, was formed, it is still under the
full control of CCBA.

屬中華公所直轄,事實上是直屬於一間成交時成立,叫Waterford
Management LLC的公司。華福樓交易時,法例不容許中華公所直接管理華福樓。因中華公所擁有其他物業,所以臨時成立了一間叫Waterford
Management LLC的公司接管華福樓,而Waterford
Management LLC直屬中華公所管理。會計師樓在過去數年,不知有Waterford
Management LLC的存在,所以沒有填寫年報。在2010年5月發現這個錯誤後,一氣補填幾年報告,但在報告上填錯了負責人的名字,經主席提醒後,現已給予更正,並沒有被罰款,報稅方面也幸未出問題。陳家驊質問主席為什麼要騁請律師去調查有關Waterford
Management LLC的存在原因,他只要在網上找資料,問黃國威或何遠光便能明白一切前因後果,因為他們都應該很了解這件事。他跟著又問主席為什麼在公共場所問他有十多萬元不知去向,究竟居心何在?更說如果他曾經有做過功課,應該知道所有文件都是黃國威簽字的,很容易便能找出來龍去脈,並警告主席,如果他受到攻擊,一定會反擊,甚至會告上法庭。梁主席向大會澄清,經調查後,他早已知道Waterford
Management LLC存在的原因及理由,但因每年要付$500費用為該公司填年報,所以聘請律師調查是否可以解散這間公司,不用再填年報,調查結果說Waterford
Management LLC一定要付清Mass
Housing Finance Agency 的貸款才能被解散。余麗媖問,聘請律師是否應先得董事會同意?主席說聘請律師前他曾徵求何遠光和陳家驊的意見但陳家驊沒有回答他。陳家驊說他發問題的態度不當,有含沙射影之意。主席說他沒有這個意圖,可能他聽得不請楚。劉啟祥說購買華福樓時他是中華公所的英文書記,他最清楚當時的程序,其實一切都是依照正當手續辦事,如購買大同村時一樣,絕對沒有值得懷疑的地方,雖然成立多一間管理公司(Waterford
Management LLC)
,但仍然屬中華公所全權管理。

reported that total income for March and April is
$82,948.38,
total expenses is $31,931.27, with surplus of $51,203.53.
Rosemary Yee asked about the meaning of Meeting/Travel
Expenses. It was explained that these expenses were for
entertaining VIPs who come to visit. Everyone agreed that
this item should be listed as Public Relations. Rosemary
Yee motioned, Lili Mei seconded, the Finance Report was
unanimously approved.
黃光野報告說公所2010年3月和4月的總收入是$82,948.38,總支出是$31,931.27,盈餘是$51,203.53。余麗媖問報告上說的職員車馬費是甚麼支出﹖後來查出這些支出是招呼客人到訪的茶點費用。大家同意這項支出應稱為公關費。余麗媖動議,梅麗梨附議,在無人反對下同過下財政報告。

reported Hainan Sun and Asian Pacific Seafood, two
commercial spaces at Tai Tung Village, would like to extend
their lease for 5 years. After investigation by Winn
Management, the proposed rent is close to fair market value
and with an annual rent increase of three percent, the terms
are reasonable. Larry Young motioned and Gilbert Ho
seconded, the Committee unanimously approved the lease for
Hainan Sun. Nasi Huang motioned, and Gilbert Ho seconded,
the Committee unanimously approved the lease for Asian
Pacific Seafood. Operation of Waterford Place during March
and April, 2010 is normal and has a surplus of $39,593.00.
Tremont Village has a surplus of $1,311.00 with no repairs
necessary. The lobby of Tai Tung Village needs to be
renovated this year. The sewer under the lobby and
courtyard needs to be repaired this year. Earning is stable
with approximately $90,000.00 deposited in the bank monthly.

explained that he is happy to learn from the tax return that
Tai Tung Village is now worth over $14,000,000.00. He hopes
that all CCBA assets can be appraised. Felix Lui motioned,
Kai Lau seconded and the Tai Tung Management Tax Return
unanimously approved.
劉啟祥解釋,因稅局改例﹐他很高興能在報稅表看出,大同村現值$14,000,000.00多元。他更希望所有中華公所的物業都能有個估價。雷國輝動議,劉啟祥附議在無人反對下通過大同村報稅表。

Leung said Boston Taishan Community Association, Inc. has
over 600 members. The association wished to apply for an
additional representative to the Board. They have submitted
their application with their By-Laws and member list.
Wingkay Leung requested that the Election Committee discuss
this request. Rick Wong reported that the Tufts Scholarship
Fund has $137,000.00. Finance and Audit Committees
discussed disbursement of scholarship funds. Barbara Rubel
from Tufts University was invited to attend the second
meeting to address questions and concerns. At the moment,
the scholarship will only be disseminated to citizens or
permanent residents of Chinese descent. The committee will
have further discussions before reporting to the Board.
